FORCE MAJEURE CLAUSES
This is an advanced level course on Force Majeure Clauses in commercial contracts. When entering into contracts, parties often agree to a force majeure term without understanding implications on liabilities and parties often do not understand what to do when a force majeure clause is triggered. This course will allow participants to understand the meaning and effect of a commonly used force majeure clause, learn how to negotiate a good force majeure term, how to avoid drafting mistakes when agreeing to a clause, how to use the clause when a force majeure event occurs or when a company receives a notice of force majeure

The one day workshop duration is of 5 hours in total. The format of workshop is in presentation style with short scenarios to help understand the elements of a force majeure clause. A case study will conducted as the last part of the session allowing participants to prepare and present in groups. The one day workshop would cover the following topics;
– Legal Principles and Definition of Force Majeure
– Interpretation of Commonly used Force Majeure Clauses
– Drafting a Force Majeure Clause
– Negotiating the terms during execution of contract
– Disputes in connection to force majeure
This course is designed for) Employees working in the Commercial, Contracts or Procurement Department that are involved in negotiating with vendors and contractors when entering into a contract 2) In house lawyers that are involved in reviewing, drafting and resolving disputes in contracts 3) Management level employees that are involved in decision making when a force majeure event occurs.
